Business and Customers. ATI has provided Buyer a complete and accurate list and provided Buyer with the right to inspect true and complete copies of (a) a written list of all its customers as of the Closing Date, (b) the amount for which each such customer was invoiced during the twelve month period ending December 31, 2005, and (c) the expiration date of the ATI’s contracts with such customers. Except as otherwise disclosed to Buyer in writing, ATI has received no notice and, has no reason to believe, that any significant customer of ATI (i) has ceased, or will cease, to use the products, goods, or services of ATI, (ii) has substantially reduced, or will substantially reduce, the use of products, goods, or services of ATI or (iii) has sought, or is seeking, to reduce the price it will pay for products, goods, or services of ATI, including in each case after the consummation of the transactions contemplated hereby. No customer of ATI described in clause (a) of this section has otherwise threatened to take any action described in the preceding sentence as a result of the consummation of the transactions contemplated by this Agreement.
