Common use of Business Associate’s Operations Clause in Contracts

Business Associate’s Operations. Business Associate may Use PHI it creates or receives for or from Company as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities. Business Associate may disclose such PHI as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities only if: (i) The Disclosure is Required by Law; or (ii) Business Associate obtains reasonable assurance evidenced by written contract, from any person or organization to which Business Associate will disclose such PHI that the person or organization will: a. Hold such PHI in confidence and Use or further disclose it only for the purpose for which Business Associate disclosed it to the person or organization or as Required by Law; and b. Notify Business Associate (who will in turn promptly notify Company) of any instance of which the person or organization becomes aware in which the confidentiality of such PHI was breached.

Business Associate’s Operations. Business Associate may Use use PHI it creates or receives for or from Company as Covered Entity only to the extent necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities. Business Associate may disclose such PHI as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities only if: (i) a. The Disclosure disclosure is Required required by Lawlaw; or (ii) b. Business Associate obtains reasonable assurance assurance, evidenced by written contract, from any person or organization to which Business Associate will shall disclose such PHI that the such person or organization willshall: a. i. Hold such PHI in confidence and Use or further disclose it only for the purpose for which Business Associate disclosed it to the person or organization or as Required by Law; and b. Notify Business Associate (who will in turn promptly notify Company) of any instance of which the person or organization becomes aware in which the confidentiality of such PHI was breached.

Business Associate’s Operations. Business Associate also may Use use PHI it creates for or receives for or from Company as EMS Agency to the extent necessary for Business Associate’s 's proper management and administration or to carry out Business Associate’s 's legal responsibilitiesresponsibilities under the Agreement and hereunder. Business Associate may disclose such PHI as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities such purposes only if: (i) a. The Disclosure disclosure is Required required by Lawlaw; or (ii) b. Business Associate obtains reasonable assurance assurance, evidenced by a written contract, from any person or organization to which Business Associate will disclose such PHI that the such person or organization willagrees to abide by the terms and conditions of this Addendum and specifically to: a. (i) Hold such PHI in confidence and Use use or further disclose it only for the purpose for which Business Associate disclosed it to the person or organization or as Required required by Lawlaw; and b. (ii) Notify Business Associate (who will in turn shall then promptly notify CompanyEMS Agency) of any instance of which the person or organization becomes aware in which that the confidentiality of such PHI was breached.

Business Associate may Use Under HIPAA and HITECH, PHI it creates or receives for or from Company as must be limited, to the extent practicable, to the “limited data set” or, if needed, the minimum necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilitiesaccomplish the intended purpose. Business Associate may disclose such PHI as necessary for Business Associate’s 's proper management and administration or to carry out Business Associate’s 's legal responsibilities only if: (i) A. The Disclosure disclosure is Required required by Lawlaw; or (ii) B. Business Associate obtains reasonable assurance assurance, evidenced by written contract, from any person or organization to which Business Associate will shall disclose such PHI that the such person or organization willshall: a.
