Business Continuity Planning. Supplier shall prepare and maintain at no additional cost to Buyer a Business Continuity Plan (“BCP”). Upon written request of Buyer, Supplier shall provide a copy of Supplier’s BCP. The BCP shall be designed to ensure that Supplier can continue to provide the goods and/or services in accordance with this Order in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shall, at a minimum, provide for: (a) the retention and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, in the event of a BCP-triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. Supplier shall maintain the BCP and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practices. Upon Xxxxx’s written and reasonable request, Supplier shall provide Buyer an executive summary of test results and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing. Upon Xxxxx’s request and with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall give Buyer and its designated agents access to Supplier’s designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter.
Business Continuity Planning. D16.1 DCLG may require the Contractor to develop and agree with DCLG a business continuity plan. Where so required the Contractor shall:
Business Continuity Planning. Flextronics shall maintain a business continuity plan to be put into effect if Flextronics becomes unable to perform the applicable Services for any reason, including Force Majeure, for a period of more than five (5) days (“Business Continuity Plan” or “BCP”). Flextronics’ goal is to be able to continue to provide the Services in accordance with the time schedules required under this Agreement. The Business Continuity Plan shall contain, at a minimum, (a) a risk assessment and business impact analysis, (b) a prevention/mitigation plan, and (c) a resumption of Services plan, including a recovery/restoration plan. The preceding will cover, but not be limited to, provisions for documentation storage (product, process, fixture, tools), information systems technology redundancy, a demonstration of Flextronics’ capability to recover in an emergency if it becomes unable to perform the Services or if one of its subcontractors experiences such an emergency. At Nortel Networks’ request and at no additional charge to Nortel Networks, Flextronics will participate in any commercially reasonable tests implemented by Nortel Networks or discussions initiated by Nortel Networks for purposes of evaluating, coordinating and integrating the business continuity plans of its suppliers with Nortel Networks’ overall business continuity plan, in so much as current activities and associated On Time Delivery metrics are not impacted by said test. As reasonably requested by Nortel Networks during the Term, Flextronics will adjust the BCP to better conform to and integrate with Nortel Networks’ business continuity plan, on terms to be mutually agreed to by the Parties. Throughout the Term, Flextronics shall provide a copy of any changes in the Business Continuity Plan to Nortel Networks within ten (10) days of any such change. A period of Force Majeure or other event causing inability to perform the Services shall be deemed to commence on the date that the event of Force Majeure or other such event first occurs. Nortel Networks and Flextronics shall review Flextronics’ Business Continuity Plan annually.
Business Continuity Planning. Each Servicing Party shall adhere to Business Continuity Planning Policy of DFS and the Business Continuity Planning program maintained in accordance therewith. In the event of a business interruption, in addition to performing recovery actions in accordance with the Business Continuity Planning program, a Servicing Party shall immediately notify the Parties to which it is providing Services of the nature and extent of the interruption and the location of any recovery center to the extent applicable. Except as may be provided in Section 7 below, the occurrence of a business interruption event shall not relieve a Servicing Party of its obligation to perform the Services in accordance with the terms hereof.
Business Continuity Planning. Each party will develop, maintain and, as necessary in the event of business interruption, execute a business resumption plan, and will provide to the other party, its auditors and regulators reasonable access to the plan and to plan test results, as such other party may reasonably request from time to time, including such information that may be reasonably required to determine the compatibility of the plans.
Business Continuity Planning. 9.1 In the event GE, at its sole discretion, identifies you as a critical supplier, you shall prepare, maintain and provide, at no additional cost to GE, a Business Continuity Plan (“BCP”) satisfactory to GE and designed to ensure that you can continue to provide the Services and Products in accordance with this PO in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Your BCP shall, at a minimum, provide for (i) the retention, rotation, and retrieval of data and files; (ii) obtaining resources necessary for recovery, (iii) appropriate continuity plans to maintain adequate levels of staffing required to provide the Services and Products during a disruptive event; (iv) procedures to activate an immediate, orderly response to emergency situations; (v) procedures to address potential disruptions to your supply chain; (vi) a defined escalation process for notification of GE in the event of a BCP-triggering interruption; and (vii) training for Your Personnel who are responsible for monitoring and maintaining your continuity plans and records.
Business Continuity Planning. The Distributor shall maintain at a location other than its normal location appropriate redundant facilities for operational back-up in the event of a power failure, disaster or other significant interruption. The Distributor shall continuously back up Fund records, and shall store the back up in a secure manner at a location other than its normal location, so that, in the event of a power failure, disaster or other significant interruption at such normal location, the Fund’s records will be maintained intact and will enable the Distributor to perform under this Agreement. The Distributor will maintain a comprehensive business continuity plan and will provide an executive summary of such plan upon reasonable written request of the Fund. The Distributor will test the adequacy of its business continuity plan at least annually. Following such test, upon written request by the Fund, the Distributor will provide the Fund with a letter assessing the most recent business continuity test results. In the event of a business disruption that materially impacts the Distributor’s provision of services under this Agreement, the Distributor will notify the Fund of the disruption and the steps being implemented under the business continuity plan.
Business Continuity Planning. 6.4.1 Seller represents and warrants that it has developed and implemented an effective business continuity plan that will ensure that Seller is able to continue to provide Products when the manufacture or delivery of Products is interrupted for any reason outside of Seller’s reasonable control (“BCP”) and will maintain and update the BCP at least annually during the Term for each of its manufacturing and operations sites. Seller will perform a timely assessment after the occurrence of any event, other than national holidays, that may delay production or shipping of Products for a period of more than 5 calendar days. Seller will activate the BCP, if Seller determines as a result of its assessment that a Seller site will be unable to produce or ship Products for a period of more than 5 calendar days.
Business Continuity Planning. If GE, in its sole discretion, identifies SP as a critical supplier in an applicable SOW, SP shall, at no additional cost to GE, comply with the requirements of Schedule MS7- Business Continuity Planning.
Business Continuity Planning. OSG Cloud shall maintain and implement an adequate business continuity and disaster recovery plan (the "BC & DR Plan"). The plan shall ensure OSG Cloud’s ability to continue to perform its obligations under the Agreement. OSG Cloud will review and test this plan at a minimum annually. This plan provides a clear framework of how OSG Cloud will continue operations in an efficient and controlled manner in the event of a major crisis occurring either during or outside office hours.
