Common use of Business Continuity Planning Clause in Contracts

Business Continuity Planning. Supplier shall prepare and maintain at no additional cost to Buyer a Business Continuity Plan (“BCP”). Upon written request of Buyer, Supplier shall provide a copy of Supplier’s BCP. The BCP shall be designed to ensure that Supplier can continue to provide the goods and/or services in accordance with this Order in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shall, at a minimum, provide for: (a) the retention and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, in the event of a BCP-triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. Supplier shall maintain the BCP and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practices. Upon Xxxxx’s written and reasonable request, Supplier shall provide Buyer an executive summary of test results and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing. Upon Xxxxx’s request and with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall give Buyer and its designated agents access to Supplier’s designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter.

Der Lieferant muss den BCP aufrechterhalten und mindestens einmal pro Jahr testen. Auf Aufforderung des Käufers muss der Lieferant dem Xxxxxx eine durch seine Geschäftsführung erstellte Zusammenfassung der Testergebnisse und einen Bericht über Abhilfemassnahmen zur Verfügung stellen (einschliesslich des Zeitplans für die Umsetzung), soweit Abhilfemassnahmen notwendig sind, um im Rahmen der betreffenden Tests festgestellten Defizite abzustellen. Upon Xxxxx’s request 's request, and with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall give Buyer and its designated agents access to Supplier’s 's designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter.

Business Continuity Planning. Supplier shall prepare prepare, and maintain maintain, at no additional cost to Buyer Buyer, a Business Continuity Plan (“BCP”). Upon written request of Buyer, Supplier shall provide a copy of Supplier’s BCP. The BCP shall be designed to ensure that Supplier can continue to provide the goods and/or services in accordance with this Order in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shall, at a minimum, provide for: (a) the retention and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, in the event of a BCP-triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. Supplier shall maintain the BCP and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practices. Upon Xxxxx’s written and reasonable request, Supplier shall provide Buyer an executive summary of the test results and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing18. The BCP shall be ) satisfactory to Purchaser and designed to ensure that Supplier can continue to provide the goods and/or services Services in accordance with this Order Agreement and each SoW therein in the event of a disaster or other BCP-triggering BCP‐triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shallwill, at a minimum, provide for: for (a) the retention retention, rotation, and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services Services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, Purchaser in the event of a BCP-triggering BCP‐triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. . 9.2 Supplier shall will maintain the BCP BCP, update it no less than twice per year and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practicesannually. Upon Xxxxx’s written and reasonable Purchaser request, Supplier shall will provide Buyer Purchaser an executive summary of the plan updates, a summary of test results results, and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing. as a result of the test, including timetables for new corrective actions and the status of corrective actions previously identified. 9.3 Upon Xxxxx’s request and request, with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall will give Buyer Purchaser and its designated agents access to Supplier’s designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter. Subject to confidentiality obligations under this Agreement, information requested by Purchaser arising from such meetings will be provided to Purchaser within thirty (30) days or as otherwise mutually agreed. 9.4 Supplier shall maintain a written Security Plan consistent with the Customs‐Trade Partnership Against Terrorism (“C‐TPAT”) program of U.S. Customs and Border Protection, the Authorized Economic Operator for Security program of the European Union (“EU AEO”) and similar World Customs Organization SAFE Framework of Standards (collectively, “SAFE Framework programs”) and implement appropriate procedures pursuant to such plan. Upon advance notice by Purchaser to Supplier and during Supplier’s normal business hours, Supplier shall make its facility available for inspection by Purchaser’s representative for the purpose of reviewing Supplier’s compliance with applicable SAFE Framework programs and with Supplier’s Security Plan. Each Party shall bear its own costs in relation to such inspection and review.
