Common use of Business Day Certificate Clause in Contracts

Business Day Certificate. On the Closing Date (with respect to the calendar year 2002) and thereafter, within 15 days prior to the end of each succeeding calendar year while this Agreement remains in effect, the Servicer shall deliver to the Indenture Trustee and to Wilmington Trust Company, not in its individual capacity but solely as owner trustee (the "Owner Trustee"), an Officer's Certificate specifying the days on which banking institutions or trust companies in New York, New York, Wilmington, Delaware or Los Angeles, California are authorized or obligated by law, executive order or governmental decree to remain closed.
