Borrower Incumbency Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a Certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Credit Document reasonably satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of the Borrower.

The Agent shall have received, ------------------------------- with a counterpart for each Bank, a certificate of each of the Borrowers, dated the Second Supplemental Closing Date, as to the incumbency and signature of the officers of each of the Borrowers executing this Amendment or the other Amendment Documents to which each of the Borrowers is a party, satisfactory in form and substance to the Agent, executed by an Authorized Officer of each of the Borrowers.
Borrower Incumbency Certificate. The Agent shall have received, with a counterpart for the Vendor, a certificate of the Borrower, as to the incumbency and signature of the officers of Holding executing this Agreement satisfactory in form and substance to the Agent and the Vendor, executed by the Secretary or any Assistant Secretary of Holding.
Borrower Incumbency Certificate. The Administrative Agent shall have received a Certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Credit Document satisfactory in form and substance to the Administrative Agent.

The Lender shall have received a certificate of the Borrower, dated as of the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Financing Document reasonably satisfactory in form and substance to the Lender, executed by the President or any Vice President and the Secretary or an Assistant Secretary of the Borrower.
Borrower Incumbency Certificate the Bank shall have received a certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Loan Document in substantially the form of Exhibit J, 29 executed by the Chairman of the Board of Directors and the Secretary or any Assistant Secretary of the Borrower.

A certificate of the secretary or an assistant secretary of Borrower dated the Initial Funding Date and certifying the names of the officers of Borrower authorized to sign this Agreement, and each other Loan Document to be executed by Borrower, and all other documents and certificates to be delivered by Borrower hereunder, together with the true signatures of such officers, upon which certificate the Agent and each Lender may conclusively rely until it shall have received a further certificate of the secretary or an assistant secretary of the Borrower canceling or amending such prior certificate;
