Borrower Incumbency Certificate. The Administrative Agent shall have received, with a counterpart for each Lender, a Certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Credit Document reasonably satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of the Borrower.

The Agent shall have received, with a counterpart for the Vendor, a certificate of the Borrower, as to the incumbency and signature of the officers of Holding executing this Agreement satisfactory in form and substance to the Agent and the Vendor, executed by the Secretary or any Assistant Secretary of Holding.

Borrower Incumbency Certificate. The Documentation Agent shall have received, with a counterpart for each Lender, a certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing this Agreement and documents executed by the Borrower pursuant hereto, satisfactory in form and substance to the Documentation Agent, executed by the vice-president - finance or the chief financial officer and the secretary or an assistant secretary of the Borrower.
Borrower Incumbency Certificate the Bank shall have received a certificate of the Borrower, dated the Closing Date, as to the incumbency and signature of the officers of the Borrower executing any Loan Document in substantially the form of Exhibit J, 29 executed by the Chairman of the Board of Directors and the Secretary or any Assistant Secretary of the Borrower.
