Common use of Business, Debt, Contracts, Etc Clause in Contracts

Business, Debt, Contracts, Etc. Each of Borrower and each Project Company has not conducted any business other than the business contemplated by the Operative Documents. Except as reflected in the financial statements delivered to Administrative Agent pursuant to Article 5, none of Borrower nor any Project Company has any outstanding Debt or other material liabilities other than pursuant to or allowed by the Operative Documents. Except as otherwise disclosed, neither Borrower nor any Project Company is a party to or bound by any material contract obligating Borrower or any Project Company, as applicable, to pay more than $100,000 in any fiscal year or $250,000 in the aggregate over the term of such contract other than the Operative Documents and the Financing Documents to which it is a party.
