The Facility Lessee does not conduct any business other than the development, ownership, operation, maintenance, leasing and financing of the Facility and the Facility Site and activities incidental thereto. The Facility Lessee does not have any outstanding Indebtedness or other material liabilities other than pursuant to the Transaction Documents, and is not a party to or bound by any material contract other than the Transaction Documents to which it is a party.
