BUSINESS PREMISES. Until Closing, Seller agrees to maintain the Business premises, including heating, cooling, plumbing and electrical systems and built-in fixtures, together with all other equipment and assets included in this sale, in good working order and to deliver the premises in a clean and orderly condition.
BUSINESS PREMISES. 4.1 No person shall attempt to sell any goods or services to other persons within The Gates at Hilton, whether by way of door to door selling, setting up a store, spaza shop or sales table, nor may any person make any attempt to set up a business as a vendor within The Gates, for any purpose whatever, without the prior written consent of the HOA and the necessary licences prescribed by law.
BUSINESS PREMISES. 1. Franchisee will has to manage a shop of minimum 100 square feet area to perform business activities. The shop can be owned or rented or paternal.
BUSINESS PREMISES. (1) Engage in or conduct any building, demolition, remodeling or material modifications or alterations to any of its business premises unless required by applicable Law, in an emergency situation or reasonably necessary to ensure satisfaction of Section 4.1(u)(2) or (2) fail to use commercially reasonable efforts to maintain its business premises or other assets in substantially the same condition as of the date hereof.
BUSINESS PREMISES. The Borrower does not own, lease, sublease, occupy, use or operate any real property or improvements other than the Borrower Business Premises. The Borrower's chief executive office (within the meaning of Section 9-103 of the Virginia Uniform Commercial Code) is located at the Borrower Chief Executive Office. All financial books and records of the Borrower are located at the Borrower Business Premises.
BUSINESS PREMISES. 6.12.1. The Company and the Subsidiaries own no other real properties than the Properties. True copies of certificates of encumbrance (Sw. gravationsbevis) with respect to the Properties have been attached to Appendix 6.12.1.

BUSINESS PREMISES. (a) Seller is a party to a lease (the "Riverwoods Lease") covering the premises at 0000 Xxxx Xxxx Xxxx, Riverwoods, Illinois 60015, which is used, in part, in connection with the Business. Schedule 2.6(a) contains a complete and accurate list of the Riverwoods Lease, all amendments thereto, and all other material documents relating to the Riverwoods Lease, true copies of which documents have been previously made available to Purchaser. Except as set forth in Schedule 2.6(a), (i) the Riverwoods Lease is in full force and effect, constitutes the legal, valid and binding obligation of, and is enforceable against, Seller and, to the knowledge of Seller, each other Person that is a party thereto, in accordance with its terms, (ii) Seller has not received any written notice from the lessor under the Riverwoods Lease of the termination thereof, and (iii) there is no default (including any failure by Seller to make timely payments to the lessor in accordance with the terms of the Riverwoods Lease) or event which, with notice or lapse of time, or both, would constitute a default on the part of Seller (nor, to the knowledge of Seller, on the part of any other party thereto). Seller will have entered into a written sublease with ADS Network in the form attached hereto as Exhibit C (the "Riverwoods Sublease") covering the portion of the Riverwoods, Illinois premises used in connection with the Business, effective as of the Closing Date. At Closing, the Riverwoods Sublease will be in full force and effect. Seller will have transferred to ADS Network at Closing, good and valid title to the leasehold estate in the premises demised under the Riverwoods Sublease free and clear of any Encumbrance. The Riverwoods Sublease will cover substantially all the properties that Seller and the Subsidiaries currently use to operate the Business (other than the Xxxx Lease, defined below, and off-site storage facilities). The Riverwoods, Illinois premises is not, to the knowledge of Seller subject to: any requisition, closing or demolition order; any notice of enforcement orders, abatement notices or declarations given by a Governmental Entity that has not been complied with; any order or agreement with a planning authority regulating use or development thereof which would have a material adverse effect on the Business currently conducted on that property; or any material dispute with any Person relating to the property or its use. BUSINESS PREMISES. (a) The franchisee shall not conduct the franchised business other than from the premises approved by the franchisor as set out in the schedule. The premises shall be fitted out and furnished in accordance with the requirements of the franchisor as set out in the manual.
