Business Principles. The Company agrees and undertakes to the Investors that the business of the Company will be designed and carried on in accordance with the following business principles (collectively, the “Business Principles”), namely, in a way that:
(a) provides safe and healthy working conditions for its employees and contractors;
(b) encourages the efficient use of natural resources and promotes the protection of the environment;
(c) treats all employees fairly in terms of recruitment, progression, remuneration and conditions of work, irrespective of gender, race, color, language, disability, political opinion, age, religion, or national/social origin;
(d) allows consultative work-place structures and associations that provide employees with an opportunity to present their views to management;
(e) takes account of the impact of its operations on the local community and seeks to ensure that potentially harmful occupational health and safety, environmental and social effects are properly assessed, addressed and monitored;
(f) upholds high standards of business integrity and honesty, and operates in accordance with local Laws and international good practice (including those intended to fight extortion, bribery and financial crime);
(g) implements a social and environmental management system that enables effective identification, management and monitoring of any risks and provides a framework for action; and
(h) provides for the reporting of the Company’s compliances with the Business Principles in an annual report by the Company to its Board in a manner that allows a reader to make an informed assessment of the business of the Company and, to the extent relevant, its Subsidiary undertakings as against the requirements of the Business Principles.
Business Principles. 16.1 Party B warrants that it does not give or offer any gift to any employee, agent or representative of Party A, and that there is no other improper interest transfer (including but not limited to giving material benefits or other non-material benefits in the form of gifting or lending or at a price significantly higher or lower than the market price) with the aforesaid persons, and it will not offer or grant such items or carry out improper benefits transfer in the future, in order to obtain any business from Party A, or to affect the aforesaid persons in the aspects of the terms, conditions or performance of any purchase agreement or order (including but not limited to this Agreement) between the Parties.
16.2 Party B warrants and undertakes that it will strictly abide by the commercial anti-bribery Laws and regulations in force in China and provisions for anti-corruption in all applicable Laws and regulations including the Foreign Corrupt Practices Act (FCPA) of the United States, and it shall not provide any bribes to any government official, employee of state-owned enterprises or public agency during the performance of this Agreement. Any violation of this article by Party B shall be considered as a material breach of this Agreement, and Party A is entitled to immediately terminate this Agreement and the cooperation relationship between the Parties, and request Party B to pay the liquidated damages of RMB50,000 (RMB FIFTY THOUSAND) and indemnify for all losses incurred to Party A thereby.
16.3 Party A’s e-mail address for receiving the report of any violation of Code of Business Conduct is jxxxx@xxxxxx.xxx. In the event of any violation of its Code of Business Conduct found by Party A, Party B shall cooperate with Party A in the investigation as required by Party A. If Party B fails to cooperate with Party A in such investigation, it shall be deemed as a material breach by Party B. In such case, Party A is entitled to immediately terminate this Agreement and the cooperation relationship between the Parties, and request Party B to pay the liquidated damages of RMB50,000 (RMB FIFTY THOUSAND) and indemnify for all losses incurred to Party A thereby.

Business Principles. Owners shall act in a manner consistent with BG Group’s Business Principles set out in Appendix F so as to enable Charterers to operate in accordance with those principles. Owners shall comply with the procedures for monitoring and reporting compliance as set out in the Business Principles Appendix F. Owners acknowledge that Charterers have a reporting policy and facility respectively called the ‘Speak Up Policy’ and ‘Speak Up’. The Speak Up Policy requires Charterers’ employees, and encourages others, to report any situation where there is reason to suspect that there has been a breach, or suspected breach, of BG Group’s Business Principles or other misconduct, Speak Up provides reporting channels by telephone and internet service (accessed via the BG Group website or through xxx.xx-xxxxxxx.xxx) to communicate any concerns confidentially. Owners are expected to use Speak Up.
Business Principles. XXXXX acknowledges that it has actual knowledge of: the Shell General Business Principles, available at xxx.xxxxx.xxx/xxxx, and the Shell Supplier Principles available at xxx.xxxxx.xxx/xxxxxxxxx; the Shell Code of Conduct, available at xxxx://xxx.xxxxx.xxx/home/content/aboutshell/who_we_are/our_values/code_of_conduct/; and the Shell Global Helpline, available at xxxx://xxx.xxxxx.xxx/home/content/aboutshell/who_we_are/our_values/compliance_helpline/. XXXXX agrees that it and each member of BUYER GROUP will adhere to the principles contained in the Shell General Business Principles and Shell Supplier Principles (or where BUYER has adopted equivalent principles, to those equivalent principles) in all its dealings with, or on behalf of COMPANY, in connection with this CONTRACT and related matters.
Business Principles. (a) CONTRACTOR acknowledges that it has actual knowledge of:
(i) the Shell General Business Principles, available at xxx.xxxxx.xxx/xxxx, and the Shell Supplier Principles, available at xxx.xxxxx.xxx/xxxxxxxxx;
(ii) the Shell Code of Conduct, available at xxxx://xxx.xxxxx.xxx/home/content/aboutshell/who_we_are/our_values/code_of_condu ct/; and
(iii) the Shell Global Helpline, available at xxxx://xxx.xxxxx.xxx/home/content/aboutshell/who_we_are/our_values/compliance_hel xxxxx/.
(b) CONTRACTOR agrees that it and each member of CONTRACTOR GROUP will adhere to the principles contained in the Shell General Business Principles and Shell Supplier Principles (or where CONTRACTOR has adopted equivalent principles, to those equivalent principles) in all its dealings with or on behalf of COMPANY in connection with this CONTRACT and related matters.
(c) In the event that CONTRACTOR GROUP supplies staff that work on behalf of COMPANY or represent COMPANY, CONTRACTOR commits that the staff supplied will behave in a manner that is consistent with the Shell Code of Conduct.
(d) CONTRACTOR will notify COMPANY immediately if it becomes aware of any behaviour by staff of COMPANY GROUP, or CONTRACTOR GROUP which is, or may be, inconsistent with the Shell General Business Principles, the Shell Supplier Principles, or the Shell Code of Conduct where applicable, or where CONTRACTOR has adopted equivalent principles, their equivalent. Section IIIB – General Terms and Conditions CONTRACTOR may make use of the Shell Global Helpline to report any suspected violations of the above.
Business Principles. Service Provider acknowledges and agrees that Service Provider has been made fully acquainted with the ALU Statement of Business Principles (which may be updated from time to time and available at: xxxx://xxx.xxxxxxx-xxxxxx.xxx/sbp) and agrees to apply the principles set forth therein with respect to performance of this MSA and all Purchase Orders and in particular with reference to non-discrimination of employees, combating bribery of domestic and foreign public officials, and protection of international human rights and environmental responsibility, all as THE COMPANY HAS REQUESTED AN ORDER FROM THE SECURITIES AND EXCHANGE COMMISSION (THE “COMMISSION”) PURSUANT TO RULE 406 OF THE SECURITIES ACT OF 1933, AS AMENDED, GRANTING CONFIDENTIAL TREATMENT TO SELECTED PORTIONS. ACCORDINGLY, THE CONFIDENTIAL PORTIONS HAVE BEEN OMITTED FROM THIS EXHIBIT, AND HAVE BEEN FILED SEPARATELY WITH THE COMMISSION. OMITTED PORTIONS ARE INDICATED IN THIS EXHIBIT WITH “*****”. MASTER SERVICES AGREEMENT TERMS AND CONDITIONS provided in the Compliance With Laws section of this MSA. Service Provider recognizes that violation of any of these principles will be a material breach of this MSA under Section 16.4.1; provided, however, that if ALU has made a material change to its Statement of Business Principles in effect on the Services Commencement Date, Service Provider’s violation of such principle will only be considered a material breach of this MSA under Section 16.4.1 if ALU notified Service Provider in writing of such material change in its Statement of Business Principles.
Business Principles. Owners will co-operate with charterers to ensure that the “business principles”, as amended from time to time, of the royal Dutch/shell group of companies, which are posted on the shell worldwide web (xxx.xxxxx.xxx), are complied with.
