Buyer knows of no fact that would disqualify Buyer as assignee of the FCC Licenses or as the owner and operator of the Station. To Buyer's knowledge, no waiver of any FCC rule or policy is required for the grant of the FCC Consent.

Buyer Qualifications. To Buyer's knowledge, except as set forth on Schedule 4.4, Buyer is legally, financially and otherwise qualified to be the licensee of, acquire, own and operate the Earth Stations under the Communications Act, and the rules, regulations and policies of the FCC. Buyer knows of no fact that would, under existing law and the existing rules, regulations, policies and procedures of the FCC (a) disqualify Buyer as an assignee of the FCC Licenses or as the owner and operator of any of the Earth Stations or (b) cause the FCC to fail to approve in a timely fashion any of the applications for the FCC Consents.

Buyer further represents and warrants that it is financially qualified to meet all terms, conditions and undertakings contemplated by this Agreement, including the payment of the Purchase Price.
