Common use of Buyer’s and Sellers’ Delivery of Documents Clause in Contracts

Buyer’s and Sellers’ Delivery of Documents. If this Agreement terminates for any reason, then, at Sellers’ request, Buyer shall, within five (5) days after Sellers’ written request therefor, return or destroy all documents provided to Buyer or any other Due Diligence Parties pursuant to the due diligence activities described in Section 7.1. The provisions of this Section 13.1 shall survive any termination of this Agreement, but not the Closing.

Buyer’s and Sellers’ Delivery of Documents. If this Agreement terminates for any reason, then, at Sellers’ request, Buyer shall, within five (5) days after Sellers’ written request therefor, either return to Seller or destroy certify to Seller that it has destroyed, as Buyer may elect, all documents Due Diligence Materials provided by Seller to Buyer or any other Due Diligence Parties pursuant to the due diligence activities described in Section 7.1this Agreement. The provisions of this Section 13.1 14.1 shall survive any termination of this Agreement, but not the Closing.

If this Agreement terminates for any reason, then, at Sellers’ request, and as a condition to the return, if required, of all or any portion of the Deposit, Buyer and EAGL shall, within five (5) days after Sellers’ written request therefor, return or destroy destroy, as Sellers may elect, all documents provided to Buyer or any other Due Diligence Parties pursuant to the due diligence activities described in Section 7.18.1. The provisions of this Section 13.1 14.4 shall survive any termination of this Agreement, but not the Closing.
