Development Projects. The Company has no reason to believe that (i) the estimated production capacity for each of the time periods set forth in Section 3.01(w) of the Company Disclosure Letter with respect to the four development projects described in the Company's Annual Report on Form 10-K for the fiscal year ended December 31, 1995 will not be reached during such time periods, or (ii) the estimated costs set forth in Section 3.01(w) of the Company Disclosure Letter with respect to each such development project will be exceeded.
Development Projects. The development and construction of buildings and improvements upon previously unimproved land owned from time to time by the Company or the Operating Partnership, either directly or indirectly, including through Joint Ventures. Repairs to and rebuilding, remodeling and renovation of existing buildings and improvements and similar capital improvement projects are excluded from the definition of Development Projects.
Development Projects. Schedule 3.22 identifies all projects in development by or on behalf of each Entertainment Company (the "Development Projects") and all material Contracts relating thereto. The relevant Entertainment Company owns all right, title and interest in and to such Development Projects to the extent described therein.

If one or more Development Projects is not so completed prior to the Closing Date, then at Closing, the applicable Sellers and Buyer shall enter into an escrow agreement, in form and substance reasonably acceptable to Sellers and Buyer, pursuant to which (a) Sellers agree to deposit a sum of 125% of the costs reasonably expected to complete such Development Project(s), (b) the Contracts relating to such Development Project(s) shall be assigned from the applicable Sellers to Buyer, (c) Buyer shall complete such Development Project(s) using the amounts deposited by Sellers pursuant to clause (a) above, and (d) after completion of all Development Projects, all funds remaining in escrow shall be released to Sellers.
Development Projects. If the Joint Steering Committee submits a Development Project Proposal for a Candidate Compound to the Management Committee and the Management Committee approves it, the Candidate Compound shall become a Lead Compound for development under a Development Project Plan (which Plan shall be the Development Project Proposal as adopted by the Management Committee). Development Project activities are expected to take an average of eighteen (18) to twenty-four (24) months per Development Project (or potentially longer in the case of New Technology Activities), which may vary depending on the complexity of the issues to be addressed in the Development Project Plan with respect to the relevant Lead Compound. The Parties acknowledge that a Development Project may require subprojects, particularly in the case of the New Technology Activities, and in such events subprojects shall, for clarity, be consider part of the applicable Development Project.
