Buyer’s Closing Transactions. (a) On the Closing Date, Buyer shall deliver to Sellers, in the form and substance reasonably satisfactory to Sellers: (i) a copy of a resolution of the board of directors of Buyer (certified by a duly appointed officer as true and correct) authorizing the execution of and the performance by Buyer of its obligations under the Transaction Documents; and (ii) a counterpart of the Escrow Agreement executed and delivered by Buyer.

  • Closing Transactions On the terms and subject to the conditions set forth in this Agreement, the following transactions shall occur in the order set forth in this Section 2.1:
