Buyer’s Confirmation Sample Clauses

Buyer’s Confirmation. The Buyer acknowledges and agrees that as of the Signing Date, it has no knowledge of any matter or circumstance that may give rise to a Claim against the Seller. The Buyer further confirms that it has, prior to the execution of this Agreement, conducted its own independent investigation, review and analysis of the Group’s business, assets, liabilities, results of operation, financial condition, software, technology, intellectual property rights and prospects, including through review of the Due Diligence Information as set out in Schedule 12.4. The Buyer acknowledges that it has been provided adequate access to the personnel, properties, premises and records of the Group for such purpose.
