Buyer's Delivery at Closing. At the Closing, Buyer, at Buyer’s sole cost and expense, shall deliver to Seller the following:

In accordance with paragraph 2.2 and 2.3, at the Closing, the Buyer shall deliver or cause to be delivered a cashier's check for four hundred thirty thousand U.S. dollars (US $430,000) as payment for the Purchased Stock of the Company. At Closing, the Buyer shall appoint the following four (4) directors to the board: Xxxxxxx Xxxxx, Xxx Yogiyo, Xxxxx Xxxxxxx and Xxxxx X. Xxxxxx, and shall file or cause to be filed, within five (5) days of Closing, a Statement of Information with the California Secretary of State's office accurately setting forth the director, officer, and other information required therein.
