Buyer’s Indemnity Obligation. If Closing shall occur, from and after the Closing Date, Buyer shall RELEASE, DEFEND, INDEMNIFY and HOLD HARMLESS Seller Group from and against any and all Claims arising out of, resulting from, or relating to: (a) any breach by Buyer of Buyer’s representations, warranties or covenants set forth in this Agreement; and (b) the Assumed Liabilities.
