Buyer's obligation to pay perform or discharge the Assumed Liabilities shall survive until such Assumed Liabilities have been paid, performed or discharged in full.
Buyer's obligation to pay. Notwithstanding anything to the contrary contained in this Section 6, for any item for which Buyer receives a credit or otherwise assumes responsibility pursuant to this Section 6D(1)(a)-(f) and which is payable after Closing, Buyer shall pay for such item when due and shall be responsible for any fees, charges, interest and penalties which may become due on account of Buyer’s failure to do so.
Buyer's obligation to pay. On or before the Closing Date, the Buyer shall deliver to Plaintiff’s Solicitors, the balance of the Purchaser Price and the failure of the Buyer to pay the Purchaser Price to the Seller shall constitute a default by the Buyer under this Agreement.
