Common use of Buyer’s Officer’s Certificate Clause in Contracts

Buyer’s Officer’s Certificate. The Seller shall have received a certificate, dated the Closing Date, signed and verified by the Buyer's President and certifying, in such detail as the Seller and its counsel may reasonably request, that the conditions specified in Sections 8.2 and 8.3 relating to Purchaser have been fulfilled.

Buyer’s Officer’s Certificate. The Seller Buyer shall have received delivered to Sellers a certificatecertificate from a duly authorized officer of Buyer, dated as of the Closing Date, signed and verified by the Buyer's President and certifying, in such detail as the Seller and its counsel may reasonably request, stating that the applicable conditions specified in Sections 8.2 subsections (a) and 8.3 relating to Purchaser (b) of this Section 9.3 have been fulfilledsatisfied.

Buyer’s Officer’s Certificate. The Seller Sellers shall have received from Buyer a certificate, dated as of the Closing Date, signed and verified executed on behalf of Buyer by the a duly authorized officer of Buyer's President and certifying, in such detail as the Seller and its counsel may reasonably request, certifying that the conditions specified set forth in Sections 8.2 Section 5.2.1 and 8.3 relating to Purchaser Section 5.2.2 have been fulfilledsatisfied.

Buyer’s Officer’s Certificate. The Seller Buyer shall have received delivered to the Seller a certificate, dated the Closing Date, signed of its president and verified by the Buyer's President and certifying, in such detail as the Seller and its counsel may reasonably request, chief financial officer certifying that the conditions specified in Sections 8.2 6.3.1 and 8.3 relating to Purchaser 6.3.2 have been fulfilledsatisfied (the “Buyer’s Officers’ Certificate”).
