Buyer is a limited liability company duly organized, validly existing and in good standing under and by virtue of the laws of the State of Delaware and has all requisite power and authority to (i) own, lease, and operate its properties and carry on its business, and (ii) enter into this Agreement and perform the transactions contemplated hereby.
