Common use of BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS Clause in Contracts

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Hawaii or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Delaware or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Texas or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Maine or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Georgia or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon North Dakota or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Tennessee or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Wisconsin or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Arkansas or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Wyoming or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Colorado or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon New Jersey or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Arizona or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon West Virginia or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Mississippi or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Montana or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Kansas or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon New Mexico or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Nevada or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Vermont or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon New Mexico or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Connecticut or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Maryland or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Arizona or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Rhode Island or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Washington or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon California or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Nebraska or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Massachusetts or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Missouri or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Alabama or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Massachusetts or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Wyoming or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon California or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Virginia or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon New York or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Arkansas or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon Oklahoma or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; and

BUYER’S WARRANTIES, REPRESENTATIONS AND COVENANTS. Buyer: (i) if an entity, is a lawfully constituted entity, duly organized, validly existing, and in good standing under the laws of Oregon or another state; (ii) has the authority and power to enter into this Agreement and to consummate the transactions contemplated herein; andand (iii) upon execution hereof will be legally obligated to Seller in accordance with the terms and provisions of this Agreement.
