Common use of By Agents Clause in Contracts

By Agents. Each of the Agents will severally indemnify the Issuer against any losses, liabilities, costs, claims, actions or demands which the Issuer may incur or which may be made against the Issuer as a result of the wilful default, negligence or bad faith of that Agent or that of its officers or employees or any of them, or material breach by it of the terms of this Agreement.

By Agents. Each of the Agents will severally Agent shall indemnify the Issuer against any lossesloss, liabilitiesliability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, claims, actions charges and expenses paid or demands which incurred in disputing or defending any of the foregoing) that the Issuer may incur or which that may be made against the Issuer it as a result of the wilful defaultsuch Agent’s negligence, negligence or bad faith of that Agent or wilful default or that of its officers or officers, employees or any of them, or material breach by it of the terms of this Agreementagents.

By Agents. Each Agent shall indemnify each Issuer and its directors, officers and employees against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the Agents will severally indemnify the foregoing) that each such Issuer against any losses, liabilities, costs, claims, actions or demands which the Issuer may incur or which that may be made against the Issuer any of them as a result of the such Agent’s negligence, fraud or wilful default, negligence or bad faith of that Agent default or that of its officers officers, employees or employees contracting persons or any of them, or material breach by it of the terms of this Agreement.

By Agents. By Agents. Each of the Agents will shall severally indemnify the relevant Issuer and its directors, officers, employees and controlling persons against any losses, liabilities, costs, claims, actions actions, damages or demands and reasonable costs and expenses which the such Issuer may properly incur or which may be made against the such Issuer as a result of the such Agent’s own wilful default, negligence or bad faith of that Agent or that of its directors, officers or employees or controlling persons or any of them, . The indemnities in this Clause 18 shall survive the termination or material breach by it of the terms expiry of this Agreement.

By Agents. Each of the Agents will shall severally indemnify and hold harmless the Issuer and its officers, employees or agents against any lossesloss, liabilitiesliability, costscost, claimsclaim, actions action or demands demand which the Issuer may incur or which may be made against the Issuer as a result of the wilful defaultsuch Agent’s own negligence, negligence or fraud, bad faith of that Agent or failure to comply with its obligations under this Agreement or that of its officers or officers, employees or any of them, or material breach by it of the terms of this Agreementagents.

By Agents. By Agents.
