Common use of By Assignee Clause in Contracts

By Assignee. Assignee hereby agrees to defend, indemnify and hold harmless Assignor from and against all liability, loss, cost, damage or expense arising out of or resulting from any obligations of Assignee under the Contracts, or as landlord under the Leases, arising from and after the Effective Date.

By Assignee. Assignee does hereby agrees agree to defend, indemnify indemnify, and hold Assignor harmless Assignor from and against any and all liabilitycauses, lossclaims, costdemands, damage losses, liabilities, costs, damages, expenses, and fees (including, but not limited to, reasonable attorneys’ fees) incurred or expense arising out suffered by Assignor as a result of Assignee’s failure to perform any or resulting from any all of Assignee’s obligations of Assignee under the Contracts, or as landlord under Operating Agreements and the Leases, arising Construction Loan from and after the Effective Datedate hereof.
