By Demand Partner. Demand Partner (for purposes of this Section 8.1, the “Indemnifying Party”), shall indemnify, defend and hold harmless Fyber, and its directors, officers and employees, and its Affiliates and suppliers and their directors, officers and employees (collectively, the “Fyber Indemnified Parties”) against any liability, damage, loss or expense, fines, penalties and interests (including reasonable attorneys’ fees and costs) incurred by the Fyber Indemnified Parties as a result of any third-party claim, suit or other proceeding (collectively, "Claims") brought or made against any of the Fyber Indemnified Parties alleging (a) that any Ad provided by or through Demand Partner to the Service infringes any Intellectual Property Right of any third party or is otherwise illegal; and/or (b) a breach by Demand Partner of any of its representations or warranties under Section 4 of this MSA.
