Common use of By Each Party Clause in Contracts

By Each Party. Each Party represents and warrants to the other Party that: (a) it has full power and authority to enter into this Agreement; (b) it is in compliance, and will continue to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and c) it has the requisite corporate power and authority to execute, deliver and perform its obligations under this Agreement.

By Each Party. Each Party represents and warrants to the other Party that: that (a) it has the full power and authority to enter into this Agreement; , (b) it is in compliancethis Agreement has been duly authorized, and will continue to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and (c) it has the requisite corporate power and authority to execute, deliver and perform its obligations under this AgreementAgreement is binding upon it.

By Each Party. By Each Party. Each Party represents and warrants to the other Party that: (a) it has full power and authority to enter into this Agreement; (b) it is in compliance, and will continue not bound by any other agreements or obligations that limit its ability to comply during the term of enter into this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and (c) it has the requisite corporate power and authority to execute, deliver and perform its obligations under this Agreement; and (d) as to Partner, the Services are used for design, development, marketing, or maintenance and qualify as a resale under the terms of this Agreement.

Each Party party represents and warrants to the other Party that: (ai) it has the full power corporate right, power, and authority to enter into and to perform the acts required of it under this Agreement; (bii) the execution and delivery of this Agreement and the performance of its obligations do not and will not violate any agreement to which it is or will be otherwise bound; and (iii) it is in compliancewill comply with all applicable laws, rules, and will continue to comply during the term of this Agreement, with all laws regulations in exercising its rights and regulations governing its possession and use of Customer Data and its provision or use of the Services; and c) it has the requisite corporate power and authority to execute, deliver and perform performing its obligations under this Agreement.

By Each Party. Each Party represents and warrants to the other Party that: (a) it has full power and authority to enter into this Agreement; (b) it is in compliance, and will continue not bound by any other agreements or obligations that limit its ability to comply during the term of enter into this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and (c) it has the requisite corporate power and authority to execute, deliver and perform its obligations under this Agreement.

By Each Party. Each Party party represents and warrants to the other Party party that: (a) it has full the power and authority to enter into this Agreementgrant the rights and perform the obligations to which it commits herein; (b) it is in compliance, and will continue to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use execution of the ServicesAgreement by the natural person representing it will be sufficient to render the Agreement binding upon it; and (c) it has neither its performance hereunder nor the requisite corporate power and authority exercise by the other party of the rights granted by the warranting party hereunder in accordance with this Agreement will violate any applicable laws or regulations or the terms of any other agreement to execute, deliver and perform its obligations under this Agreementwhich the warranting party is or becomes a party.

By Each Party. Each Party Party, respectively, represents and warrants to the other Party that: (a) it has the full power right, power, and authority to enter into execute and deliver this AgreementAgreement and to perform its terms; (b) it is in compliancegood standing under the laws of its state of formation, and is, or will continue be, qualified to do business as a foreign corporation in each other state where such qualification is necessary in order for it to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and c) it has the requisite corporate power and authority to execute, deliver and perform its obligations under this Agreement; and (c) it will perform all services and obligations required hereunder in a professional and workmanlike manner.

By Each Party. Each Party represents and warrants to the other Party that: (ai) it has full power and authority to enter into this Agreement; (bii) it is in compliance, and will continue to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and c(iii) it has the requisite corporate power and authority to execute, deliver deliver, and perform its obligations under this Agreement.

By Each Party. Each Party party represents and warrants to the other Party that: (ai) it has full power all requisite right, power, and authority to enter into this Agreement; (b) it is in compliance, and will continue to comply during the term of this Agreement, with all laws and regulations governing its possession and use of Customer Data and its provision or use of the Services; and c) it has the requisite corporate power and authority to execute, deliver Agreement and perform its obligations and grant the rights, licenses and authorizations it grants under this Agreement; (ii) this Agreement has been duly authorized, executed and delivered by such party, and constitutes its legal, valid and binding obligations enforceable against it in accordance with its terms; and (iii) it is duly incorporated, validly existing, and in good standing as a company under the laws of the jurisdiction of its formation.

By Each Party.
