By Employee Without Good Reason. The Employee may terminate his employment at any time without Good Reason upon thirty (30) days’ prior written notice to the Company. In the event of any such termination of the Employee’s employment by the Employee with Good Reason: (1) The Company shall immediately pay the Employee (i) any portion of the Employee’s Base Salary accrued but unpaid through the date of such termination and (ii) all payments and reimbursements under Section 5 hereof for expenses incurred prior to such termination. (2) The Employee shall be entitled to receive all vested benefits under the Company’s otherwise applicable plans and programs.
