Termination Without Good Reason. Executive shall have the right to terminate the Period of Employment and Executive’s employment hereunder at any time without Good Reason (as defined below) upon thirty (30) days prior written notice of such termination to the Company. Any such termination by the Executive without Good Reason shall be treated for all purposes of this Agreement as a termination by the Company for Cause and the provisions of Section 7(a) shall apply.
Termination Without Good Reason. Executive also may terminate this Agreements and Executive's employment without Good Reason at any time by giving 60 days notice to Company. If Executive terminates this Agreement and Executive's employment without Good Reason, Executive shall not be entitled to receive Severance Benefits pursuant to Section 9.
Termination Without Good Reason. As of the date of any voluntary termination of employment with the Company by the Optionee other than due to death or Disability, and other than for Good Reason, any unvested portion of any Option shall terminate immediately and shall be of no further force or effect. Any previously vested but unexercised portion of any Option shall remain exercisable from the date of such termination of employment until the second anniversary of the termination date.
Termination Without Good Reason. Employee shall have the right to terminate this Agreement and his employment hereunder at any time upon thirty (30) days prior written notice of such termination to the Company. Except as expressly set forth in Section 11 ("Transition Period Services"), upon the effective date of any such termination all obligations and rights of Employee and the Company hereunder shall terminate and cease.
Termination Without Good Reason. During the Employment Term, the Executive may voluntarily terminate his employment for any (or no) reason with the Company upon 30 days prior written notice. Termination is effective 30 days after the date the notice is provided to the Company. The Company may, in its sole discretion, place the Executive on paid administrative leave as of any date prior to the end of the 30-day notice period and require that the Executive no longer be present on Company premises. During any such period of paid administrative leave, the Executive is not authorized to act or speak as a representative of the Company.
Termination Without Good Reason. Upon 30 days prior written notice to the Company, the Executive shall have the right to terminate his employment hereunder without Good Reason or any reason at all. In such event, the Executive shall be entitled to: (a) any Base Salary earned but unpaid through the date of termination; (b) immediate payment of any unpaid expense reimbursements, deferred compensation and unused accrued vacation days through the date of termination; and (c) any other payments and/or benefits to which the Executive is entitled to receive under any of the Benefit Plans, the AIMSPP, the SERP or otherwise in accordance with the terms of such plan or arrangement.
Termination Without Good Reason. Executive may terminate his employment without “Good Reason.” In the event Executive terminates his employment without Good Reason, the Company shall have no further obligations to Executive under this Agreement other than for timely payment of the Accrued Obligations. Executive shall not be entitled to any severance pay or any other additional compensation.
Termination Without Good Reason. Notwithstanding any other provision of this Agreement, if Executive terminates his employment with Sbarro other than for Good Reason, Sbarro shall have no further obligation to Executive and Executive shall have no right to receive any compensation or benefit from Sbarro, on and after the effective date of such termination, other than: (i) Base Salary earned and accrued under this Agreement prior to such effective date of termination; (ii) accrued benefits (including compensation for accrued vacation, sick and personal days) in accordance with and subject to the terms of Sbarro’s benefit plans and policies; (iii) any then earned, but unpaid, Annual Bonus with respect to the year prior to the year in which termination occurs, payable on its normal payment date; and (iv) reimbursement, in accordance with the terms of this Agreement, for business expenses properly incurred prior to the effective date of termination. This Agreement, except for the provisions of this Section 5.4(c), Article 6 “Restrictive Covenants” (to the extent applicable in accordance with its terms) and Article 7 “Other Provisions,” shall otherwise terminate upon the effective date of the termination of employment and Executive shall have no further rights hereunder.
Termination Without Good Reason. This Agreement and Employee’s employment with Employer may be terminated by Employee at any time for any or no reason upon thirty (30) days’ prior written notice to Employer.
Termination Without Good Reason. If the Employee terminates his employment with the Company before the Payment Date (even after a Change in Control) without Good Reason, the Employee will forfeit all amounts allocated to his Account under this Agreement to the extent not previously paid to Employee.
