Common use of By Executive Clause in Contracts

By Executive. If Executive’s employment hereunder shall be terminated by Executive prior to expiration of the Employment Term, then, upon such termination, regardless of the reason therefor, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program); provided, however, that if such termination shall be pursuant to paragraph 2.3(i), then Company shall (i) pay Executive the Termination Payments and (ii) provide Executive with Continuation Benefits.

By Executive. If Executive’s 's employment hereunder shall be terminated by Executive prior to expiration of the Employment Termterm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program); provided, however, that if such termination shall be pursuant to paragraph 2.3(i), then Company shall (i) pay Executive Executive, within 10 days after the last day of Executive's employment with Company, a lump sum cash payment in an amount equal to the Termination Payments Payment and (ii) provide Executive with Continuation Benefits.

By Executive. If Executive’s 's employment hereunder shall be terminated by Executive prior to expiration of the Employment Termterm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program); provided, however, that if such termination shall be pursuant to paragraph 2.3(i), (iii), (iv) or (v), then Company shall (i) pay Executive the Termination Payments and (ii) provide Executive with Continuation Benefits, subject to Executive's execution of a release and agreement as described in the last sentence of Section 7.2.

By Executive. If Executive’s 's employment hereunder shall be terminated by Executive prior to expiration of the Employment TermTerm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program); provided, however, that if such termination shall be pursuant to paragraph 2.3(i), then Company shall (i) pay Executive Executive, within 10 days after the last day of Executive's employment with Company, a lump sum cash payment in an amount equal to the Termination Payments Payment and (ii) provide Executive with Continuation Benefits.

If Executive’s 's employment hereunder shall be terminated by Executive prior to expiration of the Employment TermTerm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program)employment; provided, however, that if such termination shall be pursuant occur prior to the occurrence of a Change in Control for a reason encompassed by paragraph 2.3(i), then then, provided Executive executes the Release, Company shall (i) pay Executive the Termination Payments and (ii) provide Executive with Continuation Termination Benefits.

By Executive. If the Executive’s 's employment hereunder shall be terminated by the Executive prior to expiration of the Employment Termterm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all compensation and benefits to the Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (employment, except to the extent benefits continue pursuant to the specific terms of this Agreement or any plan or program)arrangement of the Company provides for vested benefits or continuation of benefits beyond termination of employment; provided, however, that if such termination shall be pursuant to paragraph 2.3(i)a Good Reason Termination, then the Company shall (i) pay provide the Executive with the Termination Payments and (ii) provide Executive with Continuation Benefits, except as provided in the last sentence of paragraph 5.2.

If Executive’s employment hereunder shall be terminated by Executive prior to expiration of the Employment Term, then, upon such termination, regardless of the reason therefortherefore, all compensation and benefits to Executive hereunder shall, except as otherwise provided herein, terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program); provided, however, that if such termination shall be pursuant to paragraph 2.3(i2.3(a), then Company shall (i) pay Executive the Termination Payments and (ii) provide Executive with Continuation Benefits.

By Executive. If Executive’s 's employment hereunder shall be terminated by Executive prior to the expiration of the Employment TermTerm provided in paragraph 2.1, then, upon such termination, regardless of the reason therefor, all unaccrued compensation and benefits to Executive hereunder shall, except as otherwise provided herein, shall terminate contemporaneously with the termination of such employment (except to the extent benefits continue pursuant to the specific terms of any plan or program)employment; provided, however, that if such termination Executive's employment hereunder shall be terminated by Executive pursuant to paragraph 2.3(i2.3(ii) or (iii), then Company Executive's Option to purchase stock granted in paragraph 3.3 shall (i) pay Executive become vested in an amount proportional to the Termination Payments length of Executive's employment and (ii) provide Executive with Continuation Benefitsthe Term provided in paragraph 2.1.
