Common use of By Google Clause in Contracts

By Google. Google will indemnify, defend, and hold harmless Customer from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim that the technology used to provide the Services infringes or misappropriates any patent, copyright, trade secret or trademark of that third party.

Google will defend and indemnify, defendor at its option settle, and hold harmless Customer from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) costs, arising out of a third party claim that the technology Services used to provide in accordance with the Services Documentation and the Agreement infringes or misappropriates any patent, copyright, trade secret or trademark of that third party.

Google will indemnify, defend, defend and hold harmless indemnify Customer and its Affiliates against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising solely from and against all liabilities, damages, and costs an Allegation that use of (including settlement costs and reasonable attorneys' feesa) arising out of a third party claim that the Google’s technology used to provide the Services (excluding any open source software) or (b) any Google Brand Feature infringes or misappropriates any the third party’s patent, copyright, trade secret secret, or trademark of that third partytrademark.

Subject to Section 9.2, Google will indemnify, defend, and hold harmless Customer from and against all liabilities, proven damages, liabilities and costs (including settlement costs with Google’s consent and reasonable attorneys' ’ fees) arising out of a third party claim that the technology used to provide the Services infringes or misappropriates any patent, copyright, trade secret or trademark of that third party.
