By Granicus. a) Granicus will defend, indemnify and hold Client harmless from and against all losses, liabilities, damages and expenses including reasonable attorney fees (collectively, “Losses”) arising from any claim or suit by an unaffiliated third party that the Products or Deliverables, as delivered to Client and when used in accordance with this Agreement and the applicable Transactional Document, infringes a valid U.S. copyright or U.S. patent issued as of the date of the applicable Transactional Document (a “Claim”).
