Breach of Grant Conditions. 13.1 If the Recipient fails to comply with any of the conditions set out in this Grant Agreement, or if any of the events mentioned in Clause 13.2 occur, then the Commissioner may reduce, suspend, or withhold Grant payments, or require all or any part of the Grant to be repaid. The Recipient must repay any amount required to be repaid under this condition within 30 days of receiving the demand for repayment.
13.2 The events referred to in Clause 13.1 are as follows:
a) The Recipient purports to transfer or assign any rights, interests or obligations arising under this Grant Agreement without the agreement in advance of the Commissioner;
b) Any information provided in the application for the Grant (or in a claim for payment) or in any subsequent supporting correspondence is found to be incorrect or incomplete to an extent which the Commissioner considers to be material;
c) The Recipient takes inadequate measures to investigate and resolve any reported irregularity;
d) The Recipient changes the nature of its operations to an extent which the Commissioner considers to be significant or prejudicial.
13.3 It is hoped that most difficulties encountered by the Recipient can be overcome with the advice and support of the Commissioner. In the event that it becomes necessary to take steps to enforce the terms and conditions of this Grant Agreement, the Commissioner will write to the Recipient, giving particulars of his/her concern or of any breach of a term or condition of the Grant.
13.4 The Recipient must act within 30 days (or earlier, depending on the severity of the problem) to address the Commissioners concern or rectify the breach, and may consult the Commissioner or agree with him/her an action plan for resolving the problem. If the Commissioner is not satisfied with steps taken by the Recipient to address his/her concern or rectify the breach, he/she may take steps to withhold or suspend the further payment of Grant, or to recover Grant funds already paid.
13.5 On termination of this Grant Agreement for any reason, the Recipient as soon as reasonably practicable, should return to the Commissioner any assets or property or any unused funds (unless the Commissioner gives his/her written consent to their retention) then in their possession in connection with this Grant Agreement.

b. reduce the Grant Amount in which case the payment of the Grant shall thereafter be made in accordance with the reduction and notified to the Recipient, and/or,
c. require the Recipient to repay all or any part of the Grant previously paid, and/or
d. terminate this Grant Agreement with immediate effect. The Recipient must repay any amount required under this Clause 17 within thirty (30) Calendar Days of receiving any such demand for repayment. Such sums may be recovered as a civil debt.
17.2. The events referred to in Clause 17.1 are as follows:
a. the Recipient purports to transfer, novate, assign or otherwise dispose of the whole or any part of its rights, interests or obligations arising under this Grant Agreement without the written agreement in advance of the Authority, b. the Recipient has not submitted reports, information, or other documentation within the required timescales when reasonably requested by the Authority,

If the Recipient fails to comply (or to procure the compliance by any Delivery Partner, Beneficiary or Third Party, as applicable) with any of the conditions set out in this Grant Agreement, or if any of the events mentioned in Clause 17.2 occur, then, subject to the provisions made in Clauses 17.3 to 17.9, the Authority may:

The Recipient must repay any amount required to be repaid under this Clause 16 within thirty (30) Calendar Days of receiving any such demand for repayment.
16.2. The events referred to in Clause 16.1 are as follows:
a. the Recipient purports to transfer, novate, assign or otherwise dispose of the whole or any part of its rights, interests or obligations arising under this Grant Agreement without the written agreement in advance of the Authority, b. the Recipient has not submitted reports, information, or other documentation within the required timescales when reasonably requested by the Authority,
Breach of Grant Conditions. 27.1 If the Recipient fails to comply with any of the conditions set out in this Grant Agreement, or if any of the events mentioned in Clause 27.2 occur, then the Authority may require all or any part of the Grant to be repaid. The Recipient must repay any amount required to be repaid under this condition within 30 days of receiving the demand for repayment.
27.2 The events referred to in Clause 27.1 are as follows:
(i) The Recipient purports to transfer or assign any rights, interests or obligations arising under this Grant Agreement without the agreement in advance of the Authority;
(ii) Any future information provided in relation to the Grant (or in a claim for payment) or in any subsequent supporting correspondence is found to be incorrect or incomplete to an extent which the Authority considers to be material;
(iii) The Recipient takes inadequate measures to investigate and resolve any reported irregularity.
27.3 In the event that it becomes necessary to take steps to enforce the terms and conditions of this Grant Agreement, the Authority will write to the Recipient giving particulars of its concern or of any breach of a term or condition of the Grant.
27.4 The Recipient must within 30 days (or earlier, depending on the severity of the problem) address the Authority‟s concern or rectify the breach, and may consult the Authority or agree with it an action plan for resolving the problem. If the Authority is not satisfied with steps taken by the Recipient to address its concern or rectify the breach, it may recover Grant funds already paid.
27.5 On termination of this Grant Agreement for any reason, the Recipient as soon as reasonably practicable, must return to the Authority any assets or property or any unused funds (unless the Authority gives its written consent to their retention) that are in its possession in connection with this Grant Agreement.
Breach of Grant Conditions. 11.1 If any of the events mentioned in Clause 11.3 occur, then subject to Clauses 11.4 and 11.5 the Authority may:
11.1.1 reduce, suspend or withhold Grant payments;
11.1.2 require all or any part of the Grant to be repaid (excluding any sums paid to the Supplier in accordance with the terms of this Agreement and the Contract), and/or
11.1.3 terminate this Agreement, in each case only in accordance with the process and the circumstances set out in this Clause 11.
11.2 The rights of the Authority set out in Clause 11.1 shall survive termination or expiry of this Agreement, except where due to the occurrence only of any or all of the events set out in Clauses 11.3.4 to 11.3.8, in which case the rights shall subsist only until the date on which the Authority pays the final Grant payment to the Recipient in accordance with the terms of this Agreement.
11.3 The events referred to in Clause 11.1 are as follows:
11.3.1 there is a material Default by the Recipient which results in:
(a) a failure to ensure regular or proper use of public funding or a failure to safeguard public funds, as required in each case by "Managing Public Money" as referred to in Clause 3.2; and/or
(b) a failure to use the Grant for the Purpose, whether the circumstances set out in Clauses 11.3.1(a) and/or (b) are identified under any audit or inspection carried out under this Agreement or otherwise.
11.3.2 the Recipient purports to transfer or assign any rights, interests or obligations arising under this Agreement without the written agreement in advance from the Authority;
11.3.3 the European Commission or any competent court or authority judges that any element of the Grant or the Contract is in breach of:
(a) the conditions of the State Aid Regulations under TFEU, in particular Article 107(3)(c), or any subordinate legislation made under TFEU; or
(b) the Procurement Laws;
11.3.4 any information provided in, or in support of, the Recipient's application for the Grant or in a claim for payment or in any subsequent supporting correspondence from the Recipient is found to be materially incorrect or incomplete to an extent which the Authority acting reasonably considers to be materially detrimental to the Authority;
11.3.5 the Authority reasonably considers, having undertaken an appropriate review or investigation, that the Recipient is taking or has taken inadequate measures to investigate and resolve any reported irregularity regarding use of the Grant and has failed within thirty (30)...

The Beneficiary must repay any amount required to be repaid under this condition within thirty (30) days of receiving the demand for repayment.
17.2 The events referred to in clause 17.1 are as follows:
17.2.1 The Beneficiary purports to transfer or assign any rights, interests or obligations arising under this Agreement without the agreement, in writing, in advance by the UKRA;
17.2.2 Any information provided in the application for the Grant (or in a claim for payment) or in any subsequent supporting correspondence is found to be incorrect or incomplete to an extent which the UKRA considers to be material;
17.2.3 The Beneficiary takes inadequate measures to investigate and resolve any reported irregularity; Archived
17.2.4 The Beneficiary fails to comply with the technical and financial monitoring requirements of this Agreement in accordance with clause 6.1 and 6.2;
