By-Laws of Holdings. The Stockholders agree that the By-Laws attached hereto as Annex B will be adopted as the By-Laws of Holdings that will be in effect immediately after the Closing Date. The provisions of Annex B are hereby approved by, and made a part of this Agreement among the parties hereto.
