BY-LAWS OF SURVIVING CORPORATION. The by-laws of Merger Sub, as in effect immediately prior to the Effective Time, shall be the by-laws of the Surviving Corporation until thereafter changed or amended as provided therein or by applicable Law.
BY-LAWS OF SURVIVING CORPORATION. The By-laws of Subsidiary as in effect immediately prior to the Effective Time shall be the By-laws of the Surviving Corporation from and after the Effective Time, and thereafter may be amended in accordance with their terms and as provided by the Certificate of Incorporation of the Surviving Corporation and the DGCL.
BY-LAWS OF SURVIVING CORPORATION. The By-laws of Target, as in effect at the Effective Time, shall continue in full force and effect, and shall be adopted as the By-laws of the Surviving Corporation.
BY-LAWS OF SURVIVING CORPORATION. The By-Laws of the Delaware Corporation as in effect immediately prior to the Effective Date of the Merger shall continue in full force and effect as the By-Laws of the Surviving Corporation until altered, amended or repealed as provided in the By-Laws or as provided by applicable law.
BY-LAWS OF SURVIVING CORPORATION. At and after the Effective Time, the By-Laws of Acquisition Sub shall continue as the By-Laws of Surviving Corporation.
BY-LAWS OF SURVIVING CORPORATION. The By-Laws of Janus on the Closing Date shall remain in effect as the by-laws of the corporation surviving the Xxxx II Merger and shall not be amended as a result of such merger.
BY-LAWS OF SURVIVING CORPORATION. As of the Effective Time, the By-laws of the Surviving Corporation shall remain the Bylaws of the Buyer immediately prior to the Effective Time.
BY-LAWS OF SURVIVING CORPORATION. The by-laws of the -------------------------------- Surviving Corporation shall be the by-laws of Labtec in effect at the Effective Time, which shall remain unchanged and unaffected by the Merger until amended as provided by law.
BY-LAWS OF SURVIVING CORPORATION. The by-laws of the Surviving Corporation as existing on the date of execution of this Agreement, shall continue in full force and effect as the by-laws of the Surviving Corporation until altered, amended, or repealed as provided in the by-laws or as provided by law.
BY-LAWS OF SURVIVING CORPORATION. On the Effective Date, Surviving Corporation's By-Laws will become the By-Laws of the Surviving Corporation and thereafter continue to be its By-Laws until changed as provided by law.
