By the Company Without Cause and Prior to Change of Control Period. Subject to the provisions of Paragraph 6(d) of this Agreement, if prior to the end of the Employment Term and not during a Change of Control Period, the Company terminates the Executive’s employment hereunder without Cause, the Company shall pay or provide to or in respect of the Executive, on the tenth Business Day next following the Executive’s Termination Date, all of the following amounts and benefits set forth in this Paragraph 6(a):
