Common use of By You Clause in Contracts

By You. You shall indemnify and hold harmless Us from and against any damages and costs awarded against Us or agreed in settlement by You (including reasonable attorneys’ fees) from and against any claim by a third party arising from or relating to (a) Your Content or any product or service offered by You in connection with or related to Your use of the Software; (b) Your violation of Section 2.4; (c) Your combination, incorporation, or use of the Software, or improvements thereto, with products or services not provided by Us; or (d) Your violation of any applicable law or regulation protecting the intellectual property rights or data protection rights of others.

By You.
