Common use of Bylaws/Operating Agreement Clause in Contracts

Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Borrower certified by a secretary or assistant secretary of such Borrower (pursuant to a secretary's certificate in substantially the form of Schedule 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.

Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Borrower certified by a secretary or assistant secretary an officer of such Borrower (pursuant to a secretary's an officer’s certificate in substantially the form of Schedule Exhibit 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.

Bylaws/Operating Agreement. A copy of the bylaws bylaws, memorandum and articles of association, limited liability company agreement or comparable operating agreement of Victory and each Borrower Credit Party (other than the Company) certified by a secretary or assistant secretary of such Borrower entity (pursuant to a secretary's ’s certificate in substantially the form of Schedule 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.
