CAI Agreement Clause Samples

A CAI Agreement, or Confidentiality and Invention Assignment Agreement, primarily serves to protect a company's confidential information and ensure that any inventions or intellectual property created by an employee or contractor during their engagement are assigned to the company. In practice, this clause requires individuals to keep proprietary information secret and to formally transfer ownership of any work-related inventions or developments to the employer. Its core function is to safeguard the company's intellectual assets and prevent disputes over ownership or misuse of confidential information.
CAI Agreement. To the extent that it relates to the Containers, the Operating and Administration Agreement, dated as of April 29, 1998, between CAI, and Interpool Limited, as such agreement may be amended, modified or supplemented from time to time in accordance with its terms and the terms of the Loan Documents.
CAI Agreement. So long as CAI is a Subservicer of any of the Containers, the Borrower shall not amend, modify or waive any provision of, or default under, the CAI Agreement without the prior written consent of the Agent (acting at the direction of the Majority Lenders) in each instance, such consent not to be unreasonably withheld or delayed.
CAI Agreement. A true, complete and correct copy of the CAI Agreement, as in effect on the Third Restatement Date is attached hereto as Exhibit G hereto.

  • Cooperation Agreement At the Closing, PCC and Buyer shall, and PCC shall cause PCC Parent to, execute and deliver the Cooperation Agreement pursuant to which Buyer, PCC Parent and PCC shall provide each other certain information and other assistance in connection with the collection, administration and/or satisfaction of certain of the Retained Liabilities.

  • Transition Agreement 12.8.1 In the event of termination of this Agreement, whether in its entirety or with respect to the Terminated Territory, Ablynx and AbbVie shall negotiate in good faith the terms and conditions of a written transition agreement (the “Transition Agreement”) pursuant to which AbbVie and Ablynx will effectuate and coordinate a smooth and efficient transition of relevant obligations and rights to Ablynx as reasonably necessary for Ablynx to exercise its licenses pursuant to Sections 12.6 and 12.7 with respect to the Licensed Products after termination of this Agreement (in its entirety or with respect to the Terminated Territory, as applicable) as and to the extent set forth in this Article 12. For purposes of clarity, AbbVie shall not be required to Manufacture or have Manufactured the Licensed Products by or on behalf of Ablynx as part of the Transition Agreement.   • Collaboration Agreement The Collaboration Agreement shall not have been terminated in accordance with its terms and shall be in full force and effect.

  • Noncompetition Agreement In consideration for this Agreement, the Executive will execute, concurrent with the execution of this Agreement, a noncompetition agreement with the Company; provided, however, that if the Executive has an existing noncompetition agreement with the Company, the Company, rather than entering into a new noncompetition agreement with the Executive, may instead, as a condition to entering into this agreement, require that the Executive acknowledge and affirm his continuing obligations under such existing noncompetition agreement and re-affirm his agreement to honor the obligations as set forth in that document.

  • One Agreement This Agreement and any related security or other agreements required by this Agreement, collectively: (a) represent the sum of the understandings and agreements between the Bank and the Borrower concerning this credit; (b) replace any prior oral or written agreements between the Bank and the Borrower concerning this credit; and (c) are intended by the Bank and the Borrower as the final, complete and exclusive statement of the terms agreed to by them. In the event of any conflict between this Agreement and any other agreements required by this Agreement, this Agreement will prevail.
