Calculation and Payment of Fees. The monthly fees (described in Subparagraph 7.a.) will be calculated in accordance with the accounting methods of then current Uniform System of Accounts for the Lodging Industry, or such other accounting methods as may otherwise be specified by us from time to time in the Manual. “Gross Rooms Revenue,” as used in the calculation of the Monthly Royalty Fee and the Monthly Program Fee under this Agreement, means all revenues derived from the sale or rental of Guest Rooms (both transient and permanent) of the Hotel, including guaranteed no-show revenue and credit transactions, whether or not collected, at the actual rates charged, less allowances for any Guest Room rebates and overcharges, and will not include federal, state and local taxes collected directly from patrons or guests. In the event of fire or other insured casualty that results in a reduction of Gross Rooms Revenue, you shall determine and pay us, from the proceeds of any business interruption or other insurance applicable to loss of revenues, an amount equal to the forecasted Monthly Program Fee and forecasted Monthly Royalty Fee (based upon the Gross Rooms Revenue amount agreed upon between you and your insurance company(ies)) that would have been paid to us in the absence of such casualty; provided however, we have the right, at our request to participate with you in the determination of the forecasted Gross Rooms Revenue amount for purposes of calculating the Monthly Program Fee and Monthly Royalty Fee. Group booking rebates, if any, paid by you or on your behalf to third party groups for group stays must be included, and not deducted, from the calculation of Gross Rooms Revenue. The Monthly Royalty Fee and the Monthly Program Fee will be paid to us at the place we designate on or before the fifteenth (15th) day of each month and will be accompanied by our standard schedule setting forth in reasonable detail the computation of the Monthly Royalty Fee and Monthly Program Fee for such month. There will be an annual adjustment within ninety (90) days after the end of each operating year so that the total Monthly Royalty Fees and Monthly Program Fees paid annually will be the same as the amounts determined by audit. We may require you to transmit the Monthly Royalty Fee and the Monthly Program Fee and all other payments required under this Agreement by wire transfer or other form of electronic funds transfer. You must bear all costs of wire transfer or other form of electronic funds transfer.

Calculation and Payment of Fees. The monthly fees (described in Subparagraph 7.a.) will Standby fee and Competitive Bid Facility Fee shall be calculated on the basis of the actual number of days elapsed in a 360 day year. All such fees shall be payable in addition to, and not in lieu of, interest, expense reimbursements, indemnification and other Obligations. All fees shall be payable to the Agent in immediately available funds and shall be fully earned and nonrefundable when paid. All fees specified or referred to in this Agreement due to the Agent, any Issuing Bank or any Lender, including, without limitation, those referred to in this Section 2.17, shall bear interest at the interest rate specified in Section 2.7(c) upon the occurrence and during the continuance of an Event of Default with respect to the nonpayment thereof and shall constitute Obligations. Notwithstanding the foregoing, in the event that any Lender fails to fund its Pro Rata Share of any Revolving Credit Loan or Competitive Bid Loan requested by the Borrowers' Representative which such Lender is obligated to fund under the terms of this Agreement, (A) such Lender shall not be entitled to any Standby Fee or Competitive Bid Facility Fee (whichever is applicable) with respect to its Revolving Credit Commitment until such failure has been cured in accordance with the accounting methods of then current Uniform System of Accounts for the Lodging IndustrySection 2.11(b)(v)(B) and (B) until such time, or all such other accounting methods as may otherwise be specified by us from time to time fees shall accrue in the Manual. “Gross Rooms Revenue,” as used in the calculation favor of the Monthly Royalty Fee Lenders which have funded their respective Pro Rata Shares of such Revolving Credit Loans and the Monthly Program Fee under this Agreement, means all revenues derived from the sale or rental of Guest Rooms (both transient Competitive Bid Loans and permanent) of the Hotel, including guaranteed no-show revenue and credit transactions, whether or not collected, at the actual rates charged, less allowances for any Guest Room rebates and overchargesshall be allocated among such performing Lenders ratably based upon their relative Revolving Credit Commitments, and will not include federal, state and local taxes collected directly from patrons or guests. In the event of fire or other insured casualty that results in a reduction of Gross Rooms Revenue, you shall determine and pay us, from the proceeds of any business interruption or other insurance applicable to loss of revenues, an amount equal to the forecasted Monthly Program Fee and forecasted Monthly Royalty Fee (be calculated based upon the Gross Rooms Revenue average amount agreed upon between you and your insurance company(ies)) that would have been paid to us in by which the absence aggregate Revolving Credit Commitments of such casualty; provided however, we have performing Lenders exceeds the right, at our request to participate with you in sum of (I) the determination outstanding principal amount of the forecasted Gross Rooms Revenue amount for purposes Loans other than Competitive Bid Loans owing to such performing Lenders, plus (II) the outstanding Reimbursement Obligations owing to such performing Lenders, plus (III) the aggregate participation interests of calculating the Monthly Program Fee such performing Lenders arising pursuant to Section 3.1(e) with respect to undrawn and Monthly Royalty Fee.
