Calculations Binding. All calculations regarding satisfaction of compliance with the definition of the Directing Creditors shall be made by the Collateral Agent upon receipt of and in exclusive reliance upon the certificates described in Section 3.03, and shall be binding upon each Credit Class.
Calculations Binding. The calculation by the Determination Agent of any amount, price, rate or value required to be made by the Determination Agent under this Determination Agency Agreement shall be made in good faith and shall (in the absence of manifest error) be final and binding on the Issuer, the ETP Securityholders and the Programme Parties.

The determination by the Calculation Agent of any amount or of any state of affairs, circumstance, event or other matter, or the formation of any opinion or the exercise of any discretion required or permitted to be determined, formed or exercised by the Calculation Agent under or pursuant to this Agreement shall (in the absence of manifest error) be final and binding on the Issuer, the Agents and the holders of Notes.

The determination by the Calculation Agent of any amount or of any state of affairs, circumstance, event or other matter, or the formation of any opinion or the exercise of any discretion required or permitted to be determined, formed or exercised by the Calculation Agent under this Agreement (including but not limited to calculations made pursuant to Schedule 6 (Procedures for Compliance with Spanish Tax Legislation) shall (in the absence of manifest error) be final and binding on the Issuer, the Guarantor and the relevant holders of Notes, Coupons, Receipts and Talons.
