California Law; Choice of Forum. This Agreement shall be construed in accordance with and governed by the internal laws of the State of California, without giving effect to any “conflict of lawrules of such state. Buyer and Seller each acknowledge and agree that the Superior Court of the State of California in and for the County and the associated federal and appellate courts shall have exclusive jurisdiction to hear and decide any dispute, controversy or litigation regarding the enforceability or validity of this Agreement or any portion thereof.

California Law; Choice of Forum. This Agreement was negotiated, executed and delivered within the State of California, and the rights and obligations of the parties hereto shall be construed and enforced in accordance with and governed by the laws of the State of California except with regard to its principles of conflicts of laws. The parties hereto agree that the sole and exclusive forum for any suit, action or proceeding under or arising out of this Agreement shall be the state or federal courts located in Los Angeles County, California, provided that the foregoing shall not preclude a suit, action or proceeding in another forum or jurisdiction solely to enforce or realize upon any judgment rendered in a state or federal court suit, action or proceeding otherwise authorized by this Agreement. Each of the parties hereto consents to the in personam jurisdiction of any state or federal court in Los Angeles County, California and waives any objection to the venue of any such suit, action or proceeding.

Furthermore, Employee consents to appear, upon Company’s request and at Employee’s own cost, for deposition, hearing, trial, or other court proceeding in Indiana or in any state in which resides a customer assigned to the Employee.

Except as to those matters which this Agreement provides shall be submitted to Arbitration, with respect to any claim or action arising hereunder, the parties (a) irrevocably submit to the nonexclusive jurisdiction of the courts of the State of New York and the United States District Court located in the Borough of Manhattan in The City of New York, New York, and appellate courts from any thereof, and (b) irrevocably waive any objection which such party may have at any time to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement brought in any such court, and irrevocably waive any claim that any such suit action or proceeding brought in any such court has been brought in an inconvenient forum.
