Canada Tax Elections. (a) On or prior to the Closing, Affinia Canada and the relevant Buyer Affiliate will jointly prepare and execute an election, in the prescribed form and containing the prescribed information, to have subsection 167(1.1) of the Excise Tax Act (Canada) apply to the sale and purchase of the Canadian Assets conveyed by Affinia Canada pursuant to this Agreement so that no tax is payable in respect of such sale and purchase under Part IX of the Excise Tax Act (Canada). Buyer will cause the relevant Buyer Affiliate to file such election with the relevant Governmental Authority within the time prescribed. The parties agree that the Canadian Assets to be conveyed by Affinia Canada constitute all or substantially all of the assets that can reasonably be regarded as being necessary for the relevant Buyer Affiliate to be capable of carrying on the Business in Canada. The parties acknowledge and agree that Affinia Canada is registered for purposes of Part IX of the Excise Tax Act (Canada) having a registration number of 13956 7424 RT0001 (Affinia Canada) and the relevant Buyer Affiliate will be registered for purposes of Part IX of the Excise Tax Act (Canada) on the Closing Date.

  • Income Tax Elections In the event of a distribution of property made in the manner provided under Section 734 of the Code, or in the event of a transfer of any Partnership Interest permitted by this Agreement made in the manner provided in Section 743 of the Code, the General Partner, on behalf of the Partnership, may, but shall not be required to, file an election under Section 754 of the Code in accordance with the procedures set forth in the applicable regulations promulgated thereunder.

  • Tax Elections Except as otherwise provided herein, the General Partner shall, in its sole and absolute discretion, determine whether to make any available election pursuant to the Code, including the election under Section 754 of the Code. The General Partner shall have the right to seek to revoke any such election (including without limitation, any election under Section 754 of the Code) upon the General Partner’s determination in its sole and absolute discretion that such revocation is the best interests of the Partners.
