Cancellation and Records. (a) The Registrar shall maintain, in relation to each Series of Registered Instruments in relation to which it is appointed as registrar, a register (each, a Register), which shall be kept in accordance with the relevant Terms and Conditions applicable to such Series of Registered Instruments and the Regulations. Each Register shall show the aggregate nominal amount and date of issue of each Tranche comprising the relevant Series of Registered Instruments, the names and addresses of the initial Holders thereof and the dates of all transfers to, and the names and addresses of, all subsequent Holders thereof. (b) The Registrar shall by the issue of new Registered Instruments, the cancellation of old Registered Instruments and the making of entries in the relevant Register give effect to transfers of Registered Instruments in accordance with the relevant Terms and Conditions applicable thereto and in accordance with the Regulations. (c) The Issuer may from time to time deliver to the Registrar Registered Instruments of which it or any of its Subsidiaries is the Holder for cancellation, whereupon the Registrar shall cancel the same and shall make the corresponding entries in the relevant Register. (d) As soon as reasonably practicable after receipt of a written request, the Registrar shall notify the Issuer and the Trustee of the serial numbers of any Registered Instruments against surrender of which payment has been made and of the serial numbers of any Registered Instruments (and the names and addresses of the Holders thereof) which have not yet been surrendered for payment. (e) The Registrar shall, upon and in accordance with the instructions of and at the expense of the Issuer but not otherwise, arrange for the delivery in accordance with the relevant Terms and Conditions of any notice which is to be given to the Holders of Registered Instruments. (f) The Issuer shall ensure that the Registrar has available to it supplies of such Registered Instruments as shall be necessary in connection with the transfer of Registered Instruments and the exchange of Bearer Instruments for Registered Instruments under this Clause 13. (g) The Registrar shall in relation to each issue of Registered Instruments cause the Register to be amended to reflect any exchanges, cancellations, forfeitures, payments and other redemptions, subject to being notified accordingly. (h) The Registrar shall so long as any Registered Instrument is outstanding: (i) subject to applicable laws and regulations at all reasonable times during office hours make the Register available to the Issuer or any person authorised by it or the holder of any Registered Instrument for inspection and for the taking of copies or extracts; and (ii) comply with the proper requests of the Issuer with respect to the maintenance of the Register and give to the other Paying Agents such information as may be reasonably required by them for the proper performance of their duties.

(c) The Issuer may from time to time deliver to the Registrar Registered Instruments Notes of which it or any of its Subsidiaries subsidiaries is the Holder for cancellation, whereupon the Registrar shall cancel the same and shall make the corresponding entries in the relevant Register.
(d) As soon as reasonably practicable but in any event within three months after receipt of a written requesteach date on which Registered Notes fall due for redemption, the Registrar shall notify the Issuer and the Trustee of the serial numbers of any Registered Instruments Notes against surrender of which payment has been made and of the serial numbers of any Registered Instruments Notes (and the names and addresses of the Holders thereof) which have not yet been surrendered for payment.
(e) The Registrar shall, upon and in accordance with the instructions of and at the expense of the Issuer but not otherwise, arrange for the delivery in accordance with the relevant Terms and Conditions of any notice which is to be given to the Holders of Registered InstrumentsNotes.
(f) The Issuer shall ensure that the each Registrar has available to it supplies of such Registered Instruments Notes as shall be necessary in connection with the transfer of Registered Instruments Notes and the exchange of Bearer Instruments Notes for Registered Instruments Notes under sub-clause 9.6(c) and this Clause 1311.
(g) The Transfer Agent with which a Bearer Note is deposited together with a properly completed exchange notice, in a valid exercise of the Holder’s election to exchange it for a Registered Note shall forthwith (i) notify the Fiscal Agent and the Registrar shall in relation of the Series, principal amount and certificate number of such Note, (ii) notify the Registrar of the name and address to each issue of Registered Instruments cause be entered on the Register and (iii) cancel such Note, together with any related unmatured Receipts, Coupons and Talon, and forward them to be amended to reflect any exchanges, cancellations, forfeitures, payments and other redemptions, subject to being notified accordinglythe Fiscal Agent.
(h) The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Holders’ option relating to, Registered Notes represented by it shall forthwith notify the Registrar shall so long as any Registered Instrument is outstanding:
of (i) subject to applicable laws the name and regulations at all reasonable times during office hours make the Register available to the Issuer or any person authorised by it or address of the holder of any the Registered Instrument for inspection and for the taking of copies or extracts; and
Note(s) appearing on such Certificate, (ii) comply with the proper requests certificate number of such Certificate and principal amount of the Issuer with Registered Note(s) represented by it, (iii) (in the case of an exercise of an option) the contents of the exercise notice or the redemption notice, (iv) (in the case of a transfer of, or exercise of an option relating to, part only) the principal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (v) (in the case of a transfer) the name and address of the transferee to the maintenance of be entered on the Register and give shall cancel such Certificate and forward it to the other Paying Agents such information as may be reasonably required by them for the proper performance of their dutiesRegistrar.
