Common use of Cancellation for Conflict of Interest Clause in Contracts

Cancellation for Conflict of Interest. AHCCCS may cancel this Agreement within three (3) years after Agreement execution without penalty or further obligation if any person significantly involved in initiating, negotiating, securing, drafting or creating the Agreement on behalf of the State is or becomes, at any time while the Agreement or an extension of the Agreement is in effect, an employee of or a consultant to any other party to this Agreement. The Contractor must comply with the conflict of interest safeguards described in 42 C.F.R. § 438.58 and with the prohibitions described in Section 1902(a)(4)(C) of the Social Security Act applicable to contracting officers, employees or independent contractors. The cancellation will be effective when the Contractor receives written notice of the cancellation unless the notice specifies a later time. [42 C.F.R. § 438.3(f)(2)]
