CAPACITY AND OWNERSHIP OF SHARES. 2.1 The Vendor is duly incorporated and validly existing under the Hong Kong laws and has full power and authority and has taken all action necessary to execute and deliver and to exercise its rights and perform its obligations under this agreement and each of the Acquisition Documents to be executed on or before Completion which constitute valid and binding obligations on the Vendor in accordance with their terms.
