Capacity of City to enter Agreement. The Trustee and Participating Owners agree that they will not question the capacity of the City to enter into this Agreement or question the legality of any portion hereof, nor question the legality of any obligation created hereunder and the Trustee and Participating Owners, and their successors and permitted assigns are and shall be estopped from contending otherwise in any proceeding before a Court of competent jurisdiction or any administrative tribunal.
