Capital Stock; Equity Ownership; No Options or Restrictions; Subsidiaries and Investments. Schedule 3.4 sets forth the number of authorized Units of the Company and the number of outstanding Units of the Company. The record owners of the outstanding Units of the Company are as set forth on Schedule 3.4. Except as set forth on Schedule 3.4, there are no outstanding subscriptions, options, warrants, rights (including “phantom stock rights”), calls, commitments, conversion rights, rights of exchange, plans or other agreements or arrangements of any kind providing for the purchase, issuance or sale of any equity or ownership or proprietary interest of the Company or any of its subsidiaries, or which grants any Person the right to share in the earnings of the Company or any of its subsidiaries or with respect to the sale or transfer of any equity interest of the Company or any of its subsidiaries. Each outstanding Unit was duly and validly authorized and issued by the Company, and is fully paid and non-assessable, and was not issued in violation of any preemptive right which has not been waived. Each outstanding equity security of each of the Company’s subsidiaries was duly and validly authorized and issued by such subsidiary, and is fully paid and non-assessable, and was not issued in violation of any preemptive right which has not been waived. There is no suit, action, claim, or to the knowledge of the Company, investigation or inquiry by any Governmental or Regulatory Authority, and no legal, administrative or arbitration proceeding pending or, to the knowledge of the Company, threatened against the Company or any of its subsidiaries, with respect to the execution, delivery and performance of this Agreement or the Other Agreements or the transactions contemplated hereby or thereby or any other agreement entered into by the Company in connection with the transactions contemplated hereby or thereby. Except as set forth on Schedule 3.4, the Company does not own any capital stock or other equity or ownership or proprietary interest in any Person.

Capital Stock; Equity Ownership; No Options or Restrictions; Subsidiaries and Investments. There are no outstanding subscriptions, options, warrants, rights (including "phantom stock rights"), calls, commitments, understandings, conversion rights, rights of exchange, plans or other agreements of any kind providing for the purchase, issuance or sale of any equity or ownership or proprietary interest of the CLP, or which grants any Person other than the Cap C Principals and Newport the right to share in the earnings of the CLP. The CLP does not, directly or indirectly, own any equity interest in or have any voting rights with respect to any Person. There are no outstanding subscriptions, options, rights, warrants, calls, commitments or arrangements of any kind to acquire any of the Purchased Units and there are no agreements or understandings with respect to the sale or transfer of any of the Purchased Units other than this Agreement.
