Cash Distribution Adjustment. In calculating the amount of any Loss for which SEP is entitled to indemnification hereunder, the amount of any reserve or other negative provision related to such Loss shall be deducted to the extent reflected in the Final Statement and taken into account for any adjustment to the Cash Distribution or other adjustment in accordance with Section 2.3 and Section 2.4.
