Common use of Cease Trade Orders Clause in Contracts

Cease Trade Orders. No Governmental Body has issued any order preventing or suspending the trading of the Company’s securities, the use of the Pricing Disclosure Package or the Offering Memorandum or the issuance and sale of the Notes and the Company is not aware of any investigation, order, inquiry or proceeding which has been commenced or which is pending, contemplated or threatened by any such authority.

Cease Trade Orders. No Governmental Body has issued any order preventing or suspending the trading of the Company’s securities, the use of the Pricing Disclosure Package or U.S. Base Prospectus, the Offering Memorandum U.S. Prospectus, the Canadian Prospectus or the issuance and sale of the Notes Offered Shares and the Company is not aware of any investigation, order, inquiry or proceeding which has been commenced or which is pending, contemplated or threatened by any such authority.

Cease Trade Orders. No Governmental Body has issued any order preventing ceasing or suspending the trading in securities of the Company’s securitiesPurchaser nor prohibiting the sale of such securities has been issued to and is outstanding against the Purchaser or its directors, officers or promoters or against any other companies that have common directors, officers or promoters and, to the use knowledge of the Pricing Disclosure Package Purchaser, no investigations or the Offering Memorandum proceedings for such purposes are pending or the issuance and sale of the Notes and the Company is not aware of any investigation, order, inquiry or proceeding which has been commenced or which is pending, contemplated or threatened by any such authoritythreatened.

No Governmental Body has issued any order preventing preventing, ceasing or suspending trading in any securities (including the trading Offered Shares) of the Company or prohibiting the issue and sale of securities by the Company is issued and outstanding and no proceedings for either of such purposes have been instituted or, to the best of the knowledge of the Company’s securities, the use of the Pricing Disclosure Package or the Offering Memorandum or the issuance and sale of the Notes and the Company is not aware of any investigation, order, inquiry or proceeding which has been commenced or which is are pending, contemplated or threatened by any such authoritythreatened.
