Common use of Cease Trade Orders Clause in Contracts

Cease Trade Orders. No order ceasing or suspending trading in securities of the Purchaser nor prohibiting the sale of such securities has been issued to and is outstanding against the Purchaser or its directors, officers or promoters or against any other companies that have common directors, officers or promoters and, to the knowledge of the Purchaser, no investigations or proceedings for such purposes are pending or threatened.

Cease Trade Orders. No order preventing, ceasing or suspending trading in any securities (including the Offered Shares) of the Purchaser nor Company or prohibiting the issue and sale of securities by the Company is issued and outstanding and no proceedings for either of such securities has purposes have been issued to and is outstanding against the Purchaser or its directors, officers or promoters or against any other companies that have common directors, officers or promoters andinstituted or, to the best of the knowledge of the PurchaserCompany, no investigations or proceedings for such purposes are pending pending, contemplated or threatened.
