The Administrative Agent shall have received (a) UCC, tax and judgment lien searches, bankruptcy and pending lawsuit searches or equivalent reports or searches listing all effective lien notices or comparable documents that name the Company and HoldCo as debtor and that are filed in the jurisdiction in which the Company or HoldCo, as applicable, is organized and (b) such other searches that the Administrative Agent deems necessary or appropriate.
